Powerwave announces results of Special Meeting

SANTA ANA, Calif. - Apr. 27, 2004 - Powerwave Technologies, Inc. (NASDAQ:PWAV) today announced that at its Special Shareholder Meeting its shareholders approved the issuance of the amount of Powerwave common stock necessary to consummate the proposed exchange offer for all of the shares of LGP Allgon Holding AB, a Swedish company. LGP Allgon Holding AB develops, manufactures and markets telecommunications products to improve radio coverage, capacity and data speed in mobile communications networks throughout the world. Powerwave’s shareholders also approved the proposal to amend Powerwave’s certificate of incorporation to increase the total number of authorized shares of Powerwave’s common stock to 250 million from 135 million.

Powerwave also announced that it has filed a listing application with the Stockholm Exchange to list the shares issued to the Swedish holders of LGP Allgon shares in the exchange offer on the O List of the Stockholm Exchange, pending completion of the exchange offer. The Powerwave shares issued to the US holders of LGP Allgon shares will be listed on the Nasdaq National Market. The last day of the acceptance period under the exchange offer to the shareholders of LGP Allgon Holding AB is Friday, April 30, 2004.
